EQUITA advised Strategica Group

OneItalia Alliance, a leading group active in insurance brokerage backed by J.C. Flowers & Co., is strengthening its presence in the Large Corporate and SME segments with the acquisition of Strategica Group.
EQUITA acted as the sole financial advisor for the transaction.
Advant NCTM and Studio Bracchetti D’Ignazio e Associati advised Strategica Group on legal and corporate/tax matters. The law firm Molinari advised OneItalia Alliance.
Founded in 1999 by Enrico Guarnerio, founder and CEO, Strategica Group has established itself over time as one of Italy’s leading providers of risk management consulting and insurance brokerage services for the Large Corporate and SME segments. This success is based on a model centered on advanced risk analysis and the structuring of complex insurance programs on a multinational scale for leading companies in the Italian market.
Strategica’s entry is part of a broader growth strategy launched by OneItalia Alliance with the support of J.C. Flowers & Co., a private investment firm specializing in the financial services sector. In just over a year, OneItalia Alliance has completed 10 targeted acquisitions, either directly or through its subsidiary Consulbrokers, with the aim of positioning itself as one of the leading independent players in the Italian insurance brokerage market. With the integration of Strategica, OneItalia Alliance now brings together companies that are complementary in terms of segment and focus, and boasts over 400 professionals, brokered premiums of approximately €450 million, and gross revenues of €110 million.
Strategica’s expertise will play a central role in the development of the Large Corporate and SME segments within the OneItalia Alliance Group. Enrico Guarnerio has reinvested in OneItalia Alliance and has joined its Board of Directors and Steering Committee, while also retaining operational leadership of Strategica, thereby ensuring both business continuity and direct oversight of client relationships.
“The OneItalia Alliance represents an extraordinary opportunity for us to grow alongside outstanding partners who share a long-term industrial and professional vision,” said Enrico Guarnerio. “Joining this project will allow us to pool the risk management expertise we have developed over more than twenty-five years of business and to enhance the mutual exchange of skills with the other companies in the Group. We are excited to help further strengthen a project that we believe is currently the most promising in the Italian insurance brokerage landscape.”
“We are thrilled to welcome Strategica to the OneItalia Alliance,” said Guido De Spirt, CEO of OneItalia Alliance. “Strategica is the latest addition to a broader strategic initiative that also includes Consulbrokers, Caleas, and Enablia, and which aims to build a leading group in the Italian insurance brokerage sector by bringing together the industry’s top professionals and entrepreneurs. Our vision is to unite valuable companies, preserving their identity, commercial autonomy, service culture, and customer focus, while strengthening them through shared expertise, complementary specializations, and shared operational functions. With the support of J.C. Flowers & Co., we aim to create a group capable of combining professional excellence, entrepreneurial spirit, and greater investment and development capacity, all in service of our clients and the Group’s long-term growth.”
“The acquisition of Strategica marks a milestone in the development of OneItalia Alliance as a leading independent group in the insurance brokerage sector in Italy,” said Tughan Alioglu, Managing Director of J.C. Flowers & Co. “Strategica’s expertise in managing risks for large corporations and in complex multinational programs represents valuable added value for the group, and we are delighted that Enrico Guarnerio and his team are joining our platform as we continue to build an integrated market leader.”
