EQUITA advised Gruppo Romani


Gruppo Romani, one of the leading Italian groups in the ceramics sector based in Sassuolo (Modena, Italy), has carried out a reorganization of its corporate structure that has led the family branch headed by Giorgio Romani to hold the majority of the capital to the extent of 80%.
The family branch headed by Paolo Romani, who will remain a member of the board of directors, will still retain a 20% stake in the company's capital, in a sign of the continuity and harmony that has always marked the relationship between the two Romani brothers.
Giorgio Romani said: “This opens a new phase that we have agreed upon and matured together; I must thank my brother for all he has done. Gruppo Romani would not have grown like this if Paolo had not shared all the choices in these years and supported with conviction this transition phase.”
In turn, Paolo Romani commented: “I have the highest confidence in my brother Giorgio and the agreement reached is the best demonstration of this. The Romani family confirms with this change its willingness to always seize new opportunities for growth, with a clear and solid governance, necessary also in view of a future generational change.”
The Mid Cap Advisory team of EQUITA, the Italian partner of Clairfield International, acted as financial advisor to the shareholders of Gruppo Romani, while Studio Russo De Rosa Associati handled the legal and civil law aspects of the transaction.
