EQUITA advised Mantero
Mantero acquires 70 % of Maglificio ITES, a manufacturing company founded in 1955 in Agliana, Pistoia, and now led by the third generation of the founding family. This transaction represents a crucial step in Mantero's three-year development plan 2024-2026, aimed at consolidating its position in the luxury market and expanding its product range, traditionally related to silk and textile accessories. Through a combination of organic growth and external acquisitions, Mantero aims to accelerate its development, increase production capacity and strengthen its competitiveness. For Maglificio ITES, this is a new stage in business development that aims to acquire new customers, expand into new markets and invest in innovation projects.
The joining of forces between Mantero and ITES represents not only a commercial expansion, but also a meeting of shared values. The decision to unite the two entities was driven by a common focus on tradition, resource training and the ability to adapt and anticipate market evolution, as well as a commitment to internationalization and the transmission of know-how to new generations.
Mantero was assisted by the Mid Cap Advisory team of EQUITA, exclusive partner of Clairfield in Italy and by KPMG for the due diligence activities. ITES was assisted by Professionisti Associati of Pistoia for tax aspects and TML Studio Legale.
“This partnership is a very important step in the long journey of Maglificio ITES. The meeting with Mantero allowed us to touch with our hands a stimulating reality, modern and at the same time dense with tradition, and to immediately identify a harmony of values, vision and objectives. We are happy and proud to begin this joint journey, which will offer us the opportunity to increase skills in a structured way through the contamination of our realities.” - Francesca and Nicola Matteini, partners and directors of Maglificio ITES
“This is the first majority acquisition that Mantero has made in recent years, and it is an exciting moment for all of us,” said Franco Mantero, president. “When I first visited Maglificio ITES in Agliana, I immediately felt a strong affinity with our reality; I felt like I was entering a Mantero department, and it was clear that those who lead ITES today share our same values and vision for the future. This operation marks the beginning of a strategic path that we will concretize in the coming years and that has among its main objectives precisely the expansion of the range and diversification. Two crucial aspects that will reinforce our commercial strategy, mitigating the product alternations inherent in fashion cycles. This path is based on Mantero's values: creativity, quality and inspiration from the archives, always in full compliance with the principles of sustainability that guide us daily.”
The operation is based on building a common identity, founded on the integration of two complementary business models and the centrality of people. Mantero, with its 500 employees and fully verticalized structure, and ITES, currently with 44 employees and significant growth potential, recognize that the value of people-with their mindset, vision and perspective-has been and will continue to be crucial in driving this process of integration and shared growth.
